Terms of Service
Effective Date: April 2026
This legally binding Terms of Service agreement (the "Agreement") governs your access to and use of the AI video generation, rendering, and bespoke production services provided by NovaStudio ("we," "us," or "our"). By engaging our services, submitting project briefs, or remitting payment, you (the "Client") acknowledge that you have read, understood, and agreed to be bound by these strict terms.
1. Services, Execution & 48-Hour Delivery
1.1 Performance Grade Execution. NovaStudio specializes in high-fidelity, high-volume visual assets utilizing advanced Artificial Intelligence (AI) rendering engines. We commit to a 48-hour rapid turnaround for the initial draft of your project.
1.2 The 48-Hour Guarantee Conditions. The 48-hour delivery timeline commences only after NovaStudio has officially confirmed receipt of all required, unambiguous Client materials (including but not limited to finalized scripts, character references, branding assets, and voiceovers). Any delay in providing materials, or mid-project alterations to the foundational script by the Client, immediately voids the 48-hour guarantee.
1.3 Delivery Standards. Unless otherwise negotiated and explicitly stated in the invoice, all final deliverables will be provided in industry-standard format: .MP4 container, 1080p resolution (or optimized for requested social media ratios), at 30fps.
1.4 Pay-Per-Second Model. Our billing is strictly determined by the final, approved duration of the delivered video asset. The Client is billed per second. This model explicitly excludes hidden agency fees. All invoices must be settled prior to the release of watermark-free final assets.
2. Revision Policy & Scope Creep Penalties
NovaStudio operates on a highly optimized, computationally intensive digital workflow. To maintain our disruptive 48-hour delivery model, we enforce strict boundaries on project revisions.
2.1 Complimentary Revisions. Each commissioned project includes a maximum of two (2) complimentary rounds of minor revisions. A "round" is defined as a consolidated list of adjustments submitted by the Client simultaneously within 48 hours of receiving the draft.
2.2 Definition of Minor Revisions. Complimentary revisions are strictly limited to non-structural adjustments. This includes minor lip-sync corrections, slight color grading tweaks, subtle background element removal, or typographic adjustments on overlaid text.
2.3 Major Scope Changes & Overage Premium. If the Client requests adjustments that alter the foundational premise of the project—including but not limited to: rewriting the script, changing the core avatar/character, altering the narrative structure, or requesting structural changes after rendering has commenced—these are classified as Major Revisions.
Major revisions, or any minor revisions requested beyond the complimentary two rounds, will be billed at a 20% premium surcharge above our standard per-second rate to compensate for the wasted AI compute tokens and human operational overhead.
3. Client Warranties & Strict Indemnification
Due to the generative nature of our services, NovaStudio requires absolute legal clarity regarding the inputs provided by the Client.
3.1 Representation of Ownership. The Client hereby represents and explicitly guarantees that any and all assets, materials, images, scripts, voice samples, and brand logos provided to NovaStudio for processing are legally obtained.
3.2 Legal Compliance. The Client warrants that they possess the explicit, unencumbered legal right, license, and consent from all relevant copyright holders and individuals depicted to use said materials for commercial video generation.
3.3 Absolute Disclaimer of Liability. NovaStudio acts solely as a technical processing engine. NovaStudio explicitly disclaims any liability for copyright infringement, violation of privacy rights, or legal breaches stemming from the materials provided by the Client.
3.4 Indemnification. The Client agrees to fully indemnify and hold harmless NovaStudio against any claims, lawsuits, damages, liabilities, and expenses arising directly or indirectly from the Client's breach of these warranties or the provision of unauthorized materials.
4. Intellectual Property & Commercial Rights
4.1 Output Ownership. Upon receipt of full and final payment, NovaStudio transfers full commercial usage rights of the delivered video outputs to the Client. The Client is authorized to utilize the assets across all global commercial platforms.
4.2 Synthetic Asset Disclaimer. NovaStudio guarantees that all digital human faces and synthesized vocal assets generated entirely by our AI (excluding Client-provided inputs) are uniquely synthesized and do not correspond to any real person's biometric data.
5. Confidentiality & Non-Disclosure
5.1 Protection of Trade Secrets. Both parties are bound by a mutual non-disclosure agreement by default. NovaStudio guarantees that Client-provided proprietary data, business secrets, and private media will never be utilized to feed, train, or optimize public or shared AI models.
6. General Provisions
6.1 Limitation of Liability. In no event shall NovaStudio be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to this Agreement.
6.2 Right to Refuse Service. NovaStudio reserves the right to reject or terminate any project that we deem to contain illegal, unethical, or grossly inappropriate material.
